Terms & Conditions

Last Updated: October 2026

These Terms & Conditions (“Terms”) govern your access to and use of the YoPOS restaurant point of sale software, the Your Order Please website, our mobile and desktop applications, and any related services (together, the “Services”). By creating an account, placing an order, or otherwise using the Services, you agree to these Terms. If you are accepting on behalf of a restaurant or company, you confirm that you have authority to bind that organisation. If you do not agree, please do not use the Services.

1. Definitions

  • “We”, “us”, “our” — Your Order Please, the provider of the YoPOS Services.
  • “You”, “Customer” — the restaurant, business or individual that subscribes to or uses the Services.
  • “Authorised User” — any member of your staff to whom you grant access to your YoPOS account.
  • “Customer Data” — menus, orders, bills, inventory records, guest details and any other information you or your Authorised Users enter into or generate through the Services.
  • “Subscription” — the paid plan under which you are entitled to use the Services.

2. Eligibility and Accounts

You must be at least 18 years old and legally capable of entering into a contract to use the Services. You agree to provide accurate registration information and to keep it current.

You are responsible for all activity that occurs under your account, including the actions of your Authorised Users. Keep credentials confidential, give each staff member their own login rather than sharing one, and notify us promptly at support@yopos.io if you suspect unauthorised access.

3. Subscription, Billing and Renewal

  • Subscription fees, billing frequency and included features are those set out in the plan or quotation you accept.
  • Unless stated otherwise, fees are billed in advance and are exclusive of applicable taxes, which will be added where required by law.
  • Subscriptions renew automatically for successive terms unless cancelled before the end of the current term.
  • You may cancel at any time; cancellation takes effect at the end of the paid term, and the Services remain available until then.
  • Except where required by law, fees already paid are non-refundable, including for partial periods.
  • If payment fails, we may suspend access after giving you reasonable notice and an opportunity to correct the payment method.

4. Trials and Demonstrations

We may offer a free trial or a guided demonstration. Trial accounts are provided “as is” for evaluation only and may have limited features, limited data retention or a usage cap. We may modify or end a trial at any time. Unless you subscribe before the trial ends, data in a trial account may be deleted.

5. Your Data and Our Role

Customer Data belongs to you. We do not sell it, and we do not use it to advertise to your guests.

We process Customer Data on your instructions in order to operate the Services, provide support, maintain security, and meet our legal obligations. Where your Customer Data includes personal information about your guests or staff, you are the party responsible for collecting it lawfully and for providing any notices or obtaining any consents that apply to you. Our handling of personal information is described in our Privacy Policy.

You may export your data while your Subscription is active. After termination we retain Customer Data for a limited period so that you can retrieve it, after which it may be permanently deleted. Please export anything you need before you cancel.

6. Acceptable Use

You agree not to:

  • Use the Services for any unlawful purpose, or in breach of tax, food safety, payment or consumer protection rules that apply to your business
  • Resell, sublicense, rent or provide the Services to a third party except as expressly permitted
  • Copy, reverse engineer, decompile or attempt to derive the source code of the Services
  • Probe, scan or test the vulnerability of our systems, or circumvent any authentication or rate limiting
  • Upload malicious code, or interfere with the integrity or performance of the Services
  • Enter data you have no right to use, or use the Services to send unsolicited marketing in breach of applicable law

7. Hardware and Third-Party Services

The Services are designed to work with printers, card terminals, payment gateways, delivery aggregators and similar third-party products. Those products are supplied and operated by third parties under their own terms and pricing.

We do not control third-party services and are not responsible for their availability, accuracy, fees or acts. Where a third party changes or withdraws an integration, we will make reasonable efforts to maintain compatibility but cannot guarantee it. Hardware you purchase from a third party is covered by that supplier's warranty, not by these Terms.

8. Availability, Support and Maintenance

We aim to keep the Services available at all times but do not warrant uninterrupted or error-free operation. Access may be affected by maintenance, updates, third-party outages, or events beyond our reasonable control.

We will try to schedule planned maintenance outside peak service hours and to give advance notice of work likely to cause meaningful disruption. Support is provided through the channels and within the hours stated in your plan.

9. Intellectual Property

The Services, including all software, interfaces, documentation, trade marks and branding, remain our property or that of our licensors. Subject to these Terms and payment of applicable fees, we grant you a limited, non-exclusive, non-transferable right to use the Services for your own business during your Subscription. No other rights are granted.

If you send us feedback or suggestions, we may use them to improve the Services without obligation or payment to you.

10. Confidentiality

Each party may receive information from the other that is marked confidential or that a reasonable person would understand to be confidential. Each party agrees to protect such information with at least the care it applies to its own confidential information and to use it only for the purposes of these Terms. This does not apply to information that is public through no fault of the recipient, independently developed, or required to be disclosed by law.

11. Suspension and Termination

We may suspend or terminate access if you materially breach these Terms, if your account is used unlawfully, if payment remains outstanding after notice, or if continued operation would expose us or other customers to security or legal risk. Where practical we will give notice and an opportunity to remedy the issue first.

You may terminate at any time by cancelling your Subscription. Sections that by their nature should survive termination — including fees due, confidentiality, intellectual property, disclaimers, liability and governing law — will continue to apply.

12. Disclaimers

The Services are provided on an “as is” and “as available” basis. To the maximum extent permitted by law, we disclaim all implied warranties, including merchantability, fitness for a particular purpose and non-infringement.

The Services assist with record keeping; they are not accounting, tax or legal advice. You remain responsible for verifying your own invoices, tax filings, pricing and compliance with the rules that apply to your business.

13. Limitation of Liability

To the maximum extent permitted by law, neither party is liable for indirect, incidental, special, punitive or consequential loss, or for loss of profit, revenue, goodwill or anticipated savings, even if advised of the possibility.

Our total aggregate liability arising out of or relating to the Services will not exceed the amount you paid us for the Services in the twelve months immediately before the event giving rise to the claim. Nothing in these Terms excludes liability that cannot lawfully be excluded.

14. Indemnity

You agree to indemnify and hold us harmless from claims, damages and reasonable costs arising from your use of the Services in breach of these Terms, from Customer Data you were not entitled to process, or from your breach of any law applicable to your business.

15. Changes to the Services and to These Terms

We may improve, change or discontinue features of the Services. Where a change materially reduces functionality you rely on, we will give reasonable notice.

We may also update these Terms. The “Last Updated” date above shows when they last changed, and material changes will be notified to you by email or in the product. Continuing to use the Services after the changes take effect means you accept the revised Terms.

16. Governing Law and Disputes

These Terms are governed by the laws of the jurisdiction in which Your Order Please is established, without regard to conflict of law rules. The courts of that jurisdiction will have exclusive jurisdiction, except that either party may seek injunctive relief to protect its intellectual property or confidential information in any competent court.

Before starting formal proceedings, both parties agree to attempt in good faith to resolve the dispute by discussion, beginning with written notice to the other party.

17. General

  • These Terms, together with your plan or quotation and our Privacy Policy, form the entire agreement between us.
  • If any provision is held unenforceable, the rest remains in force.
  • Failure to enforce a provision is not a waiver of it.
  • You may not assign these Terms without our written consent; we may assign them as part of a merger, acquisition or sale of assets.
